Terms of Service
These Terms (the "Terms") govern your use of EntropyX, provided by EntropyX. By creating a workspace, signing in, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the organisation you represent.
1. The Service
EntropyXis an industrial CMMS that provides a 3D viewer, asset register, maintenance scheduling, work-order management, dashboards, scenario planning, and an AI assistant ("Shelby"). Features available to you depend on the plan associated with your workspace.
2. Early access
The Service is currently offered under an early-access programme. Pricing, plans, and feature availability may change with reasonable notice. EntropyX does not offer a contractual service level (SLA) during early access; we operate the Service on a commercially reasonable best-effort basis. If a paid agreement supersedes these Terms, the terms of that agreement govern.
3. Your account
You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must use a password that meets our complexity requirements and notify us promptly of any unauthorised access at the email in Section 13. You must be at least sixteen years old to use the Service.
4. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy. In particular, you must not:
- use the Service to violate applicable law or another party's rights;
- attempt to disrupt, reverse-engineer, or breach the Service or any underlying systems;
- upload content you are not authorised to upload, or content containing malicious code;
- send unsolicited messages through the Service;
- circumvent rate limits or other technical protections;
- use Shelby outputs as the sole basis for safety-critical decisions; outputs are advisory and must be reviewed by a qualified human.
5. Customer content
You retain all rights in the content your workspace uploads (3D models, asset records, documents, schedules). You grant EntropyX a worldwide, non-exclusive, royalty-free licence to host, transmit, process, and display that content solely to provide and improve the Service for you, including indexing for Shelby. We do not use customer workspace content to train shared AI models.
You represent that you have the rights necessary to upload content to the Service and that your use of the Service complies with all applicable laws.
6. AI outputs
Shelby is an AI assistant that produces probabilistic outputs based on workspace content and uploaded documents. Outputs may be incomplete, inaccurate, or out of date. You are responsible for verifying Shelby's outputs before relying on them. Shelby's database tools are read-only and cannot modify your workspace.
7. Fees and trials
Pricing for paid tiers will be communicated separately. Early-access usage may be offered free under a separate design-partner arrangement. We do not bill for the Service through this marketing site at this time.
8. Suspension and termination
You may stop using the Service at any time by deleting your workspace. We may suspend or terminate access (with reasonable notice except where impractical) for material breach of these Terms, fraudulent use, non-payment, or risk to the Service or other customers. On termination, we will provide a reasonable window for content export before deletion as set out in our Privacy Policy.
9. Service availability
We will use commercially reasonable efforts to keep the Service available. The Service may be affected by scheduled maintenance, third-party outages (including our cloud and AI sub- processors), and force-majeure events. During early access, no SLA is offered.
10. Warranty disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except for any warranties that cannot lawfully be disclaimed.
11. Limitation of liability
To the maximum extent permitted by law, EntropyX and its affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.EntropyX's aggregate liability under these Terms shall not exceed the greater of (a) the fees paid by you in the twelve months preceding the claim, or (b) one hundred US dollars.
12. Governing law
These Terms are governed by the laws applicable at EntropyX's principal place of business, without regard to conflict-of-laws principles. Specific jurisdiction and venue clauses will be confirmed before public launch and may be superseded by a customer agreement.
13. Changes
We may update these Terms as the product evolves. Material changes will be communicated to workspace owners by email at least thirty (30) days before they take effect, unless required sooner by law.
